This committee falls within the Governance Group of IPA Committees. The overall strategic objective of this Group of Committees is: ´to ensure the efficient and effective management of the IPA in accordance with its Constitution and Bylaws'.
Specific Mandate
The overall purpose of the committee shall be to strengthen the good governance of the IPA by ensuring consistency between the Constitution and Bylaws, and the Procedures of the IPA and assisting the Board and the Executive Committee in the faithful implementation of its obligations under these documents.
In particular, the Committee shall:
1. Review and make appropriate recommendations to the Executive Committee concerning all proposed additions or revisions to the Constitution and Bylaws so as to ensure that they are clear, practical and best reflect the policy intended by their introduction and that they are not in contradiction with the letter and spirit of other provisions.
2. When requested, review and make appropriate recommendations to the Executive Committee concerning proposed additions or revisions to the Procedural Code (or any other procedural or policy implementation documents) so as to ensure that they are consistent with the Constitution and Bylaws, and are clear, practical and best reflect the policy intended by their introduction.
3. At any time, make appropriate recommendations to the Executive Committee as to the need for changes to the Constitution and Bylaws, or the Procedural Code, in the interests of the better governance of the IPA.
4. When requested, provide advice and guidance to the Board, the Executive Committee or Chairs of Committees on matters to do with the Constitution and Bylaws, and the Procedural Code.
The Committee has the right to consult the IPA's legal advisers as and when it considers this necessary in the course of its work. The Committee also has the right to address issues directly to the Board where it feels the Executive Committee is not acting in accordance with its obligations under the Constitution and Bylaws, or Procedures adopted by the Board.
Term
The Chair and members of the Committee will be assumed to have submitted their resignations on the change of administration is accordance with the Committees section with the IPA's Procedural Code.
